These Terms and Conditions ("Terms") govern the use of event management, production, consulting, creative, and operational services ("Services") provided by Someone's Event, a subsidiary operating within Someone's Entertainment Group (SEG).

By engaging Someone's Event for any form of service delivery, project development, event production, consultation, or related professional activity, the Client agrees to be bound by these Terms.

These Terms constitute a legally binding agreement between Someone's Event ("Company") and the contracting entity ("Client").

1. Definition of Services

1.1 Someone's Event provides event production, planning, management, technical coordination, creative direction, artistic programming, and operational oversight for concerts, festivals, stage productions, brand premieres, summits, panels, corporate gatherings, cultural showcases, private engagements, and special-format programs.

1.2 Services may include, without limitation:

  • Concept development and project consultation
  • Venue sourcing, booking, and coordination
  • Technical planning (sound, lighting, staging, video systems)
  • Talent booking, artist liaison, and performance management
  • Scheduling, logistics, and production staffing
  • Ticketing solutions provided through Someone's Ticket
  • Venue-based operations through Someone's House, Someone's Stage, Someone's Studio, Someone's Yacht, or Someone's Atelier
  • Vendor oversight and operational quality control
  • Safety planning, access control, crowd regulation, and compliance
  • Digital, audio, and video content production via Someone's Studio

1.3 The Company reserves the right to modify, expand, reduce, or refine its Services at its sole discretion and without prior notice.

2. Client Obligations

2.1 The Client shall supply all necessary information, approvals, materials, and documentation required to deliver the contracted Services within the agreed timelines.

2.2 The Client is responsible for ensuring that all information provided to Someone's Event is accurate, complete, and current. Any delays caused by insufficient or inaccurate information shall be the sole responsibility of the Client.

2.3 The Client shall cooperate fully with the Company's operational team, production crew, technical experts, and external partners assigned to the project.

2.4 The Client shall comply with all local laws, venue regulations, licensing requirements, and safety protocols relevant to the event.

3. Fees, Payments, and Invoicing

3.1 Fees for Services will be defined in a written proposal, scope of work, invoice, or digital contract issued by Someone's Event.

3.2 A non-refundable advance payment may be required to secure project commencement, resource allocation, and scheduling.

3.3 Unless stated otherwise in writing, payment terms shall be 50% upfront and 50% prior to the first operational date, or as stated in the official invoice.

3.4 Payments shall be made via bank transfer, online gateway, or any approved method designated by the Company.

3.5 Late payments may incur penalties, interest, operational delays, or suspension of Services without liability to the Company.

3.6 All costs associated with third-party vendors, artists, performers, licenses, and permits are the responsibility of the Client unless expressly included in the agreement.

4. Changes, Revisions, and Additional Work

4.1 Any modification to the original scope of work requires written approval and may result in additional fees or scheduling adjustments.

4.2 Requests submitted after the project has entered an operational phase may incur extra charges based on urgency, resource availability, and production impact.

4.3 The Company retains the right to decline any change request that compromises safety, feasibility, or project integrity.

5. Cancellation and Termination

5.1 The Client may request cancellation of Services, subject to written notice.

5.2 Cancellations made:

  • More than 45 days before the event may qualify for partial refund of unused operational labor.
  • Between 45 and 15 days before the event will incur a 50% cancellation fee.
  • Less than 15 days before the event will incur a 100% cancellation fee due to pre-allocated resources, scheduled labor, and locked logistics.

5.3 Someone's Event may terminate the agreement immediately if:

  • The Client violates any obligation under these Terms.
  • Safety conditions make the event impossible to execute.
  • Force majeure events occur (see Section 12).

5.4 Termination does not release the Client from outstanding payment obligations.

6. Use of SEG Venues and Facilities

6.1 The Client may request the use of one or more SEG venues, including Someone's House, Someone's Stage, Someone's Studio, Someone's Yacht, and Someone's Atelier.

6.2 Use of such venues is subject to:

  • Availability
  • Compliance with venue rules
  • Required approvals
  • Technical and operational assessments
  • Payment of associated fees

6.3 The Company reserves the right to relocate or reassign a venue should operational, safety, or scheduling constraints arise.

7. Intellectual Property

7.1 All creative material, production plans, stage designs, technical layouts, video assets, audio recordings, scripts, documents, and related intellectual property produced by Someone's Event remain the exclusive property of the Company unless explicitly transferred in writing.

7.2 The Client receives a limited license to use delivered materials solely for the contracted event and for no other purpose.

7.3 Unauthorized reproduction, distribution, or modification is strictly prohibited.

8. Liability and Indemnification

8.1 Someone's Event shall exercise reasonable professional care in all operational and technical matters.

8.2 The Company shall not be liable for:

  • Losses resulting from inaccurate information supplied by the Client
  • Personal injury or property damage caused by attendees, vendors, or third parties
  • Delays, cancellations, or disruptions caused by external conditions, governmental restrictions, or venue limitations
  • Failure of third-party vendors hired directly by the Client

8.3 The Client agrees to indemnify and hold Someone's Event harmless against claims, damages, costs, fines, legal fees, or liabilities arising out of:

  • Client negligence
  • Breach of these Terms
  • Violations of the law
  • Misconduct of attendees or invitees

8.4 In no event shall Someone's Event be liable for consequential, incidental, or punitive damages.

9. Confidentiality

9.1 Both parties agree to maintain confidentiality regarding proprietary information, financial data, project documentation, and any non-public material exchanged during the collaboration.

9.2 Confidentiality obligations remain effective for five (5) years following project completion.

10. Data Use and Privacy

10.1 The Company may collect Client and attendee data for operational, regulatory, security, and ticketing purposes.

10.2 All data shall be processed in accordance with applicable UAE laws and internal data protection policies.

10.3 The Client is responsible for obtaining any necessary consents from attendees when submitting personal information.

11. Safety, Compliance, and Regulations

11.1 Someone's Event enforces strict compliance with UAE safety codes, municipal guidelines, venue rules, and international event standards.

11.2 The Company may suspend or modify event activities that pose a safety hazard.

11.3 The Client shall follow all safety instructions issued by production teams, venue staff, and certified personnel.

12. Force Majeure

12.1 Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to:

  • Natural disasters
  • War, terrorism, or civil unrest
  • Government restrictions
  • Electrical outages
  • Maritime restrictions (for yacht events)
  • Epidemics or public health emergencies

12.2 In such cases, timelines may be adjusted or Services postponed.

13. Governing Law and Jurisdiction

13.1 These Terms are governed by the laws of the United Arab Emirates.

13.2 Any dispute shall be resolved through the courts of Dubai, unless both parties agree to arbitration.

14. Amendments

14.1 Someone's Event may amend these Terms periodically. Continued engagement constitutes acceptance of updated Terms.

15. Entire Agreement

15.1 These Terms constitute the complete agreement between Someone's Event and the Client and supersede all prior discussions, proposals, or representations.
